Macrovision to acquire InstallShield

Macrovision plans to continue development of InstallShield product lines

Software license management and CD copy prevention company Macrovision Corp. plans to buy InstallShield Software Corp., a developer of software installation tools, it announced Wednesday.

Macrovision, of Santa Clara, California, has offered $76 million in cash for InstallShield, and may pay a further $20 million, depending on the privately held Schaumburg, Illinois, company's future performance, it said. The boards of both companies have agreed to the deal, which Macrovision expects will close in the third quarter, subject to customary closing conditions, it said.

When the deal is complete, Macrovision will incorporate InstallShield into its Software Technologies Group, where it plans to continue development of InstallShield product lines.

Macrovision plans to take advantage of InstallShield's large customer base to spread the use of its Flexnet software license management system, it said. The combination of the two companies' products will allow software developers to optimize their revenue and help enterprise customers manage software licenses cost effectively, Macrovision said.
