Quest Software, which makes database and applications management software, has agreed to acquire privately held Vintela for
approximately $56.5 million in cash, the companies announced Tuesday.
Based in Lindon, Utah, Vintela makes software which extends the capabilities of Microsoft products such as Active Directory
and Microsoft Systems Management Server, helping customers use them for managing computing environments that include both
Windows and non-Windows platforms, such as Unix and Linux.
The acquisition will help Quest offer products for user provisioning, password management, and end-user self-management in
cross-platform environments, it said. Vintela also sells products to help Windows software interoperate with Macintosh- and
Java-based systems, as well as Unix and Linux systems.
The acquisition reflects the increasing use of Active Directory in back-end enterprise computing environments, Quest said.
Quest, based in Irvine, California, expects the acquisition to close in the second or third quarter this year, subject to
standard closing conditions and regulatory approvals. The transaction will reduce Quest's pro forma earnings per share for
2005 by about $0.02, the company said.
